China Sea & Air Freight Terms of Service

1. Scope of Services

Keystone Global Limited (hereinafter referred to as “The Company”) provides sea and air freight logistics-related services, including sea freight coordination, air freight coordination, cargo consolidation, package handling, warehouse coordination, freight forwarding, customs coordination, and transportation and delivery assistance.

The Company acts solely as a logistics coordinator and freight service provider.

2. The Client

The Client authorizes Keystone Global Limited to coordinate and facilitate shipments on their behalf using designated overseas warehouses, shipping partners, freight agents, and logistics providers.

The Client remains solely responsible for:

• Customs duties
• Government fees
• Import permits
• Accuracy of invoices
• Accuracy of item descriptions
• Storage charges
• Examination fees
• Legality of imported goods
• Compliance with Jamaican import regulations
• Additional regulatory or customs-related charges associated with shipments

3. Payment Terms & Shipping Charges

The Client agrees to the following pricing structure for China sea and air freight services:

Dangerous / Hazardous Goods / Batteries

The Client must consult a Keystone representative before shipping dangerous goods, hazardous materials, batteries, restricted items, or unregulated cargo. The Company may refuse shipments deemed unsafe, prohibited, improperly packaged, or non-compliant.

Failure to declare dangerous goods properly may result in fines, seizure, destruction, delays, or additional shipping and customs charges. These liabilities and expenses remain the Client’s sole responsibility.

Container Shipments

Full container shipments are handled separately and may require additional documentation, coordination, transportation, equipment, labour, customs processing, and related charges.

The Client must provide accurate shipment details including goods description, value, supplier shipping cost, container size and type, whether pricing includes CIF, estimated invoice and/or bill of lading, cargo weight and dimensions, supplier and shipping details, and expected arrival information.

The Client must also advise whether transportation from the port is arranged, crane or specialized equipment is required, where unloading will occur, whether labour is required, and whether storage or temporary holding is necessary.

Any quotation given before receipt and review of shipping documents is preliminary. Final charges may vary because of customs assessments, port and wharf charges, demurrage, storage, inspection, equipment, labour, delivery distance, crane or forklift service, additional handling, and government charges. The Company may revise quotations and operational requirements after reviewing final documents and cargo details.

4. Local & Additional Charges

Additional charges may include local handling of JM$5,000–JM$6,500 per CBM, permits, forklifts, delivery, storage, customs examination, and port-related charges.

Jamaican-dollar charges will be converted using the prevailing exchange rate determined by The Company at invoicing. Storage charges may apply when cargo is not collected within seven (7) business days after arrival notification. Keystone’s current package-storage policy states JMD $100 per day beginning on the eighth day after the ready-for-pickup or delivery notification.

Confirm current local and additional charges with Keystone before shipment.

5. Estimated Cost Breakdown

Formula: Freight Charges = Quantity × Freight Rate. Estimated Duties = Approximately 40%–55% of Total Shipment Value. The worked-example section states a local handling fee of JM$5,000–JM$6,000 per CBM.

All calculations and quotations are estimates only and are not fixed or guaranteed. Final charges may vary based on customs valuation, item category, shipping-line increases, government charges, exchange rates, port fees, cargo type, and weight or volume discrepancies.

6. Customs Valuation

Jamaica Customs reserves the right to determine customs valuation independently. If an invoice or declared value is deemed insufficient, inaccurate, undervalued, or unjustified, Jamaica Customs may apply its own estimated value for duty assessment.

The Company does not guarantee customs clearance, release timelines, or government approval and is not liable for additional duties, customs penalties, delays, inspections, seizures, government holds, or additional assessments.

7. Rate Adjustments

The Client acknowledges that freight rates, customs duties, shipping timelines, handling fees, and related charges may change without prior notice because of industry fluctuations, carrier increases, fuel surcharges, peak demand, port congestion, tariffs, regulation, currency fluctuations, customs changes, supplier or carrier disruptions, and global shipping conditions.

The Company reserves the right to revise pricing, shipping schedules, and related charges accordingly.

8. Liability, Indemnity & Cargo Insurance

The Company is not liable for unforeseen disruptions including force majeure, customs delays, port congestion, carrier disruption, third-party negligence, government restrictions, seizure of prohibited cargo, improper Client declarations, or delays caused by shipping lines or customs agencies.

The Client agrees to fully indemnify and hold harmless The Company against claims, losses, damages, penalties, costs, or expenses arising from shipments, operations, declarations, or violations, including attorney fees and legal expenses.

9. Force Majeure

9.1 The Company is excused from delay or failure in performance caused by a force majeure event.

9.2 Force majeure includes, without limitation:

• Acts of God
• Natural disasters
• Floods
• Earthquakes
• Hurricanes
• Fires
• War
• Pandemics
• Government restrictions
• Labour disputes
• Port closures
• Customs delays
• Power failures
• Shipping line disruptions
• Transportation interruptions
• Political instability
• Any other event beyond the reasonable control of The Company

9.3 The Company will notify the Client of events affecting operations and provide updates where reasonably possible.

9.4 During such events, The Company will use reasonable efforts to minimize delays and mitigate losses where possible.

10. Quote Review, Warehouse Instructions & Restrictions

The Company reserves the right to dispose of, abandon, auction, or release cargo with unpaid balances or uncollected shipments after a reasonable period, in accordance with applicable laws and storage policies.

Quotation / Proforma Requirement for Air and Sea

Before paying a vendor or allowing a supplier to deliver goods to the China warehouse for either air or sea freight, the customer must submit the quotation or proforma invoice to logistics@keystoneglobalja.com or WhatsApp 876-407-0831 for Keystone’s review.

If the supplier is not delivering cargo to Keystone’s China warehouse, the quotation must include the port of loading and packing details, including weight and cubic metres (length × height × width).

A product may be unsuitable even when it is not listed below. Failure to obtain review before supplier payment or warehouse delivery may result in warehouse rejection, with return costs remaining the customer’s responsibility.

China Warehouse Address & Shipping Marks

Your shipping mark is made up of your customer number together with your name. Ensure the supplier places the correct shipping address, including the shipping mark, on the quotation or invoice and on every package. Where possible, obtain a supplier photo showing the complete shipping address and shipping mark.

• Air-freight packages must use the approved AIR shipping-mark format shown above.

Keystone Global Limited will not be held liable for unidentified packages.

Items Exempt from Air Shipments

Certain items cannot be shipped by air. Customers should check with the supplier and Keystone before ordering.

• Nail polish
• Perfumes
• Watches with batteries
• Spices
• Touch-up paint (paint repair paste)
• Hair removal cream
• Items exceeding 55 cm in length
• Large but lightweight items (high volumetric weight)
• Fragile goods
• Powders
• Military products
• Drones

Important notice: Share the restrictions with the supplier before shipping to avoid extra costs or delays.

11. Declaration

By receiving and/or using these China Sea & Air Freight Terms of Service and Instructions, the Client:

• Acknowledges responsibility for additional costs such as customs duty, hazmat, storage, and other shipment-based fees.
• Authorizes Keystone Global Limited to receive shipments on their behalf and accept customs charges.
• Accepts that failure to pay as agreed upon arrival may result in disposal or resale of goods to recover amounts owed.

The declaration is considered accepted and binding upon receipt of the guidelines, whether signed or not.
